Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Sprint Track, including sprintrack.com, app.sprintrack.com, api.sprintrack.com, our application, APIs, documentation, support resources, and related services.

Sprint Track is provided by Axceera (Pvt) Ltd., a company incorporated in Sri Lanka under the registered name Axceera (Private) Limited (company registration number PV 00252314), with its registered office at 157/3 Kadawatha Road, Nadimala, Dehiwala, Sri Lanka. In these Terms, "Axceera", "we", "us", and "our" mean Axceera (Private) Limited, and "Sprint Track" means the Sprint Track product and service.

By creating an account, accepting an invitation, joining a workspace, using the service, or accessing Sprint Track on behalf of an organization, you agree to these Terms. If you use Sprint Track for an organization, you represent that you have authority to bind that organization, and "Customer" means that organization.

If you do not agree to these Terms, you may not use Sprint Track.

1. The Service

Sprint Track is a project management and work management platform that helps teams organize work through workspaces, projects, tasks, modules, cycles, comments, documents, dashboards, labels, imports, notifications, attachments, roles, permissions, time tracking, and related collaboration features.

Some capabilities — including AI features, prepaid AI balance purchases, source-code integrations, agents, and planning tools — are optional and are available only where enabled for your workspace. Availability may differ by plan and may change.

We may update, improve, add, remove, suspend, or modify features from time to time. We will not intentionally remove core paid functionality during an active subscription term without a reasonable operational, security, legal, or product reason.

2. Accounts

You must provide accurate account information and keep it current. You are responsible for activity under your account and for keeping your credentials secure.

You must be at least 16 years old in the European Economic Area and the United Kingdom, or at least 13 years old elsewhere, or the higher minimum age required by applicable law, to use Sprint Track.

Axceera may suspend or restrict access if we reasonably believe an account is compromised, violates these Terms, creates risk to the service, causes harm to another user or customer, or must be restricted to comply with law.

Notify us promptly at hello@sprintrack.com if you suspect unauthorized access to your account or workspace.

3. Workspaces and Administrators

Sprint Track is organized into workspaces. A workspace is controlled by the Customer that owns it.

Workspace administrators can invite and remove members, assign roles and permissions, configure projects and project access, enable or disable integrations and AI features, create and revoke external project shares, manage billing, and access, export, modify, or delete workspace content — including content created by other members.

If you join a workspace that belongs to an organization, that organization controls the workspace and its content. You should not use that workspace for personal purposes, and you should not expect content placed in it to be private from the administrators of that workspace.

The Customer is responsible for its users' compliance with these Terms.

4. Customer Content

"Customer Content" means the content that a Customer or its users submit to, store in, or generate within Sprint Track.

Customers retain ownership of Customer Content. These Terms do not transfer ownership of Customer Content to Axceera.

Customers grant Axceera a limited license to host, store, copy, process, transmit, display, secure, and use Customer Content as necessary to provide, operate, support, maintain, improve, and secure the service; comply with law; and enforce these Terms.

Axceera does not use Customer Content to train, fine-tune, or improve AI models, and does not sell or license Customer Content.

Customers are responsible for the legality, accuracy, and appropriateness of Customer Content, and for having all rights necessary to submit it.

5. Privacy and Data Protection

Our Privacy Policy explains how we handle personal information.

If Axceera processes personal information on behalf of a Customer, the Customer is responsible for ensuring that it has a lawful basis and all necessary rights, notices, and consents for that processing. In that case, our Data Processing Agreement applies and forms part of these Terms.

Current sub-processors are published at sprintrack.com/sub-processors. We give at least 30 days' notice before adding or replacing a sub-processor.

6. Security

Axceera maintains administrative, technical, and organizational safeguards designed to protect the service and Customer Content, described on our Security page.

Customers and users are responsible for their own security practices, including credential hygiene, enabling two-factor authentication, managing workspace membership and permissions, controlling external project shares, and reviewing connected integrations.

No service is guaranteed to be free from vulnerabilities. Report suspected security issues to hello@sprintrack.com.

7. Acceptable Use

Your use of Sprint Track is governed by our Acceptable Use Policy, which forms part of these Terms. It describes prohibited conduct, content restrictions, and limits on automated and abusive use.

We may update the Acceptable Use Policy from time to time as described in section 20.

8. Third-Party Services

Sprint Track includes links, integrations, imports, exports, or connections to third-party services when those features are made available in the product and enabled for your workspace. Third-party services are not controlled by Axceera and are governed by their own terms, policies, and security practices.

Customers and users are responsible for enabling, authorizing, configuring, reviewing, and disabling third-party services. Axceera is not responsible for third-party services or for customer instructions that cause Customer Content to be shared with them.

9. Fees and Payment

Payment processing

Payments for Sprint Track are processed by Paddle, which acts as the Merchant of Record for those purchases. Paddle handles payment processing, tax calculation and collection, invoices, receipts, and refunds. Your purchase is also subject to Paddle's buyer terms. Axceera does not receive or store your full payment card details.

All prices are stated and charged in US dollars (USD).

Plans

Paid plans are charged per user, in advance, and renew automatically for successive periods until cancelled. Applicable taxes are calculated and added by Paddle at checkout. Enterprise plans may be provided under a separate written agreement, whose commercial terms prevail over this section where they differ.

Changing plans

If you upgrade your plan, or switch from monthly to annual billing, the change takes effect immediately and a prorated amount is charged at that time. Where a prorated immediate charge would be less than $1.00, it is not billed.

If you downgrade your plan, or switch from annual to monthly billing, the change takes effect at the end of your current billing period.

Cancellation

You may cancel at any time. Cancellation stops future renewals and takes effect at the end of the current billing period; you keep access to paid features until then. Cancellation does not by itself entitle you to a refund — see our Refund Policy.

A workspace with an active paid subscription cannot be deleted until that subscription is cancelled.

Non-payment

If a payment fails or fees are unpaid when due, we may downgrade, suspend, or restrict access after reasonable notice.

Price changes

Axceera may change plan features or pricing with notice. Pricing changes apply as described in the applicable subscription terms or at the next renewal.

10. Prepaid AI Balance

Where AI features are enabled for your workspace, measured AI usage is paid from a prepaid, workspace-scoped balance denominated in US dollars.

• You may add any whole-cent amount from $5.00 to $1,000.00 per purchase. Purchased funds become available once the payment is confirmed by Paddle.
• Each workspace receives a one-time $1.00 promotional balance where AI access is permitted. It does not expire and is spent before purchased funds. The promotional balance has no cash value and is never refundable.
• The balance is non-transferable, not cash-redeemable, and usable only for Sprint Track AI services.
• Usage is charged at the published rates for the model and operation used. We reserve a conservative maximum before each operation and reconcile against measured use afterwards. An operation that fails without measurable usage is not charged.
• Daily spend limits apply. By default these are $100 per user and $500 per workspace, and they cannot be raised above $500 per user and $2,000 per workspace.
• Refunds, credits, and chargebacks reduce the balance. A reversal may make the balance negative, which blocks further AI usage until it is restored.
• Automatic recharge is off by default and only operates where an authorized user has explicitly consented and a payment method is saved.

Refund treatment of the prepaid balance is set out in our Refund Policy.

11. Trials and Beta Features

We may offer free plans, trials, previews, early access, or beta features. These may be changed, limited, or discontinued at any time, and may be provided without the warranties, support commitments, or service levels that apply to generally available features.

Free and trial use is provided "as is" to the fullest extent permitted by law.

12. Intellectual Property

Sprint Track, including its software, design, interfaces, documentation, and brand, is owned by Axceera and its licensors and is protected by intellectual property law.

Subject to these Terms, Axceera grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your authorized internal business, project management, or collaboration purposes.

You may not copy, modify, reverse engineer, decompile, resell, sublicense, or create derivative works from the service except to the extent that restriction is prohibited by applicable law.

13. Feedback

If you provide feedback, suggestions, ideas, or recommendations, Axceera may use them without restriction or compensation. We will not use feedback in a way that discloses Customer Content in violation of these Terms.

14. Confidentiality

Each party may receive non-public information from the other. The receiving party will protect it with reasonable care, use it only as necessary under these Terms, and not disclose it except to personnel and advisers bound by comparable obligations, or as required by law.

15. Availability and Support

Axceera aims to provide a reliable service, but we do not guarantee uninterrupted or error-free availability unless a separate written service level agreement applies.

We may perform maintenance, updates, and changes that temporarily affect availability. We aim to limit disruption and to give notice of planned maintenance where practical.

Support is provided at hello@sprintrack.com during our normal business hours, except where a separate written agreement provides otherwise.

16. Suspension and Termination

You may stop using Sprint Track at any time and cancel as described in section 9.

Axceera may suspend or terminate access if a Customer or user violates these Terms or the Acceptable Use Policy, fails to pay fees when due, creates security or legal risk, misuses the service, or uses the service in a way that may harm Axceera, users, customers, or third parties. Where practical and lawful, we will give notice and an opportunity to remedy.

On termination, access to the service ends. Deleted workspaces and projects remain recoverable for 30 days before permanent deletion, as described in our Privacy Policy. Export any Customer Content you need before terminating.

17. Disclaimers

Sprint Track is provided "as is" and "as available".

To the fullest extent permitted by law, Axceera disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Axceera does not warrant that the service will be uninterrupted, secure, error-free, or suitable for every regulated, high-risk, or mission-critical use case.

AI features generate output that may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing AI output before relying on it, and must not use it as the sole basis for a decision with legal, financial, medical, safety, or similarly significant consequences.

Nothing in this section limits any warranty or right that cannot be excluded under the law applicable to you as a consumer.

18. Limitation of Liability

To the fullest extent permitted by law, Axceera will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

To the fullest extent permitted by law, Axceera's aggregate liability arising from or related to the service will not exceed the fees paid by the Customer for the service during the twelve months before the event giving rise to the claim. If no fees were paid, Axceera's aggregate liability will not exceed USD 100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. If you use Sprint Track as a consumer, nothing in these Terms affects your mandatory statutory rights.

19. Indemnification

Customers will defend, indemnify, and hold Axceera harmless from claims, damages, liabilities, losses, costs, and expenses arising from Customer Content, use of the service, violation of these Terms, violation of law, or infringement of third-party rights.

This section does not apply to individuals using Sprint Track as consumers, to the extent applicable law prohibits it.

20. Changes to These Terms

Axceera may update these Terms from time to time. If changes are material, we will provide notice through the service, website, email, or another appropriate channel before they take effect.

Continued use of Sprint Track after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the service and may cancel as described in section 9.

21. Governing Law and Disputes

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Democratic Socialist Republic of Sri Lanka, excluding its conflict of law rules.

Before filing a legal claim, you agree to contact Axceera at hello@sprintrack.com and attempt to resolve the dispute informally for at least 30 days.

If the dispute is not resolved informally, the courts of Colombo, Sri Lanka have exclusive jurisdiction, and you and Axceera submit to that jurisdiction.

Consumers. If you use Sprint Track as a consumer, this section does not deprive you of the protection of mandatory provisions of the law of your country of residence, and does not remove your right to bring proceedings in, or be sued only in, the courts of that country where applicable law so provides. Consumers in the European Union may also use the European Commission's online dispute resolution platform.

22. General

These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, Cookie Policy, and — where applicable — the Data Processing Agreement and any separate written agreement, form the entire agreement between you and Axceera regarding Sprint Track.

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Neither party is liable for failure to perform due to events beyond its reasonable control.
